Federal Reserve Board announces approval of application by Isabella Bank Corporation
For release at 4:30 p.m. EDT
The Federal Reserve Board officially announced on Monday its formal approval of an application submitted by Isabella Bank Corporation, a prominent financial institution headquartered in Mount Pleasant, Michigan. Under the terms of the approved application, Isabella Bank Corporation is granted the regulatory clearance necessary to proceed with the acquisition of Grand River Commerce, Inc., a bank holding company located in Grandville, Michigan. As a direct result of this corporate transaction, Isabella Bank Corporation will also indirectly acquire Grand River Bank, the wholly owned subsidiary bank of Grand River Commerce, Inc., which is likewise based in Grandville.
In conjunction with the holding company acquisition, the Federal Reserve Board granted parallel approval for Isabella Bank—the primary banking subsidiary of Isabella Bank Corporation, also based out of Mount Pleasant, Michigan—to enter into a direct merger agreement with Grand River Bank. Furthermore, the regulatory approval authorizes Isabella Bank to establish and continue operating physical banking branches at all existing locations previously operated by Grand River Bank. This development marks a significant consolidation step within Michigan’s regional banking sector, bringing together two established community-oriented financial institutions under a unified corporate umbrella.
The regulatory review process overseen by the Federal Reserve Board evaluates various statutory factors, including the competitive effects of the transaction, the financial and managerial resources and future prospects of the companies and banks involved, and the convenience and needs of the communities to be served. By greenlighting the transaction, the Board has cleared the path for Isabella Bank Corporation and Isabella Bank to integrate Grand River Commerce, Inc. and Grand River Bank into their ongoing operations, expanding their footprint within the state of Michigan.
